1. Acceptance of Terms
By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our services.
We may modify these Terms at any time. If we make changes, we will provide notice by, for example, posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after any such changes constitutes your acceptance of the updated Terms.
2. Account Registration and Requirements
To access and use certain features of our services, you must register for an account. When you register, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.
2.1 Account Security

3. Use of Services
3.1 License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our services for your internal business purposes.
3.2 Restrictions

- Bypass or circumvent measures we may use to prevent or restrict access to our services;
- Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code for our services;
- Remove any proprietary notices from our services;
- Use our services for any illegal or unauthorized purpose;
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of our services.
3.3 Service Modifications
We reserve the right to modify, suspend, or discontinue our services (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of our services.
4. User Content
Our services may allow you to store, share, or otherwise make available certain information, text, graphics, videos, or other material ("User Content").
4.1 Ownership
You retain all rights in, and are solely responsible for, the User Content you make available through our services.
4.2 License to Us
By making User Content available through our services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based upon, distribute, and display your User Content for the purpose of operating and providing our services.
4.3 Prohibited Content
You agree not to make available User Content that:
- Is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, or otherwise objectionable;
- Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;
- Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware;
- Constitutes unauthorized or unsolicited advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation;
- Impersonates any person or entity.
5. Intellectual Property
Our services and their contents, features, and functionality are owned by us, our licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
5.1 Trademarks
Ordello, the Ordello logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ordello or its affiliates or licensors. You must not use such marks without our prior written permission.
5.2 Feedback
If you provide us with any feedback or suggestions regarding our services ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback in any manner we deem appropriate.
6. Subscription and Payment
6.1 Subscription Plans
We offer various subscription plans for our services. The features and limitations of each plan are described on our pricing page. You agree to pay the fees for the subscription plan you select.
6.2 Payment
All fees are exclusive of taxes, which we will charge as applicable. You agree to provide accurate and complete billing information, including legal name, address, telephone number, and payment method information.
By providing a payment method, you authorize us to charge you for all fees incurred in connection with your account and agree to pay all such fees.
6.3 Subscription Term and Renewal
Your subscription will automatically renew at the end of the subscription term unless you cancel it prior to the end of the term. You may cancel your subscription at any time through your account settings or by contacting us. If you cancel, you will continue to have access to your subscription until the end of your current subscription term, but you will not receive a refund for any fees already paid.
6.4 Price Changes
We may change the fees for our services at any time. If we increase the fees for your subscription plan, we will provide notice of the change and the opportunity to cancel before the change takes effect.
7. Termination
We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use our services will immediately cease. If you wish to terminate your account, you may simply discontinue using our services or contact us to request account deletion.
All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
8. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
We do not warrant that (a) our services will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) our services are free of viruses or other harmful components; or (d) the results of using our services will meet your requirements.
9. Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall Ordello, its affiliates, or their respective directors, officers, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of, or inability to use, our services.
In no event shall our total liability to you for all claims arising out of or relating to the use of, or inability to use, our services exceed the amounts paid by you to us for the services during the twelve (12) months preceding the claim.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the limitations set forth above may not apply to you.
10. Indemnification
You agree to defend, indemnify, and hold harmless Ordello, its affiliates, and their respective directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:
- Your use of and access to our services;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
- Any claim that your User Content caused damage to a third party.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
12. Entire Agreement
These Terms constitute the entire agreement between you and us regarding our services and supersede and replace any prior agreements we might have had between us regarding the services.
